Tablinum Terms of Service

Draft — not yet in effect.

This is a draft for review by counsel. It is not an agreement and nothing on this page is in force. Text marked [like this] is a placeholder.

Version 2026-10-17. Permanent address of this version: tablinum.app/legal/terms-of-service/2026-10-17

Version: 2026-10-17 · Effective: not yet in effect (a draft, published 2026-10-24 for review). The final text will carry a new version date.

These Terms of Service (the "Terms") are an agreement between [TABLINUM ENTITY NAME], a [STATE] [ENTITY TYPE] ("Tablinum," "we," "us"), and the business that subscribes to the Service (the "Customer," "you"). They apply from the moment one of your owners accepts them, including during a free trial.

By clicking to accept, the person accepting confirms that they are an owner of your shop on the Service and have authority to bind the Customer.

1. Definitions

  • "Service" means Tablinum's hosted software: the staff app at <your-shop>.tablinum.app, the client portal at client.<your-shop>.tablinum.app (or a custom hostname you configure), any add-ons you subscribe to, related APIs, and any downloadable software we provide for use with it (such as a desktop app), together with their documentation.
  • "Authorized User" means an individual you give a staff account in your shop (your employees, contractors and agents), including shop-floor accounts.
  • "Client" means your own customers and their individual representatives, to whom you give access to your client portal.
  • "Customer Data" means all data and files submitted to the Service by you, your Authorized Users or your Clients, or on your behalf, including Customer Personal Data as defined in the DPA.
  • "Service Data" means data the Service generates about its own operation: usage meters (storage, upload and download volumes, seat counts), performance and error data, security logs, and billing records. Service Data does not include the contents of Customer Data.
  • "Order Form" means any ordering document, quote, email confirmation or entry on your Plan & billing page (Settings → Plan & billing) that states your plan, add-ons, prices, discounts or billing interval.
  • "DPA" means the Tablinum Data Processing Agreement at tablinum.app/legal/data-processing-agreement.
  • "AUP" means the Tablinum Acceptable Use Policy at tablinum.app/legal/acceptable-use-policy.
  • "Owner" means an Authorized User who holds the owner role in your shop.

2. The agreement

2.1 Documents. This agreement consists of these Terms, the DPA, the AUP and any Order Forms. If they conflict: an Order Form wins on commercial terms (price, interval, discounts); the DPA wins on the processing of personal data; otherwise these Terms win over the AUP.

2.2 The DPA applies automatically. The DPA is part of these Terms and applies whenever we process Customer Personal Data, whether or not an Owner has separately clicked to accept it.

2.3 Electronic acceptance. You agree that accepting these Terms electronically is as binding as a signature. We keep a record of each acceptance: the document, its version, the time, and the name, email address, IP address and browser of the person who accepted.

3. The Service

3.1 Access. Subject to these Terms and payment of the fees, we grant you a non-exclusive, non-transferable right, during your subscription, to access and use the Service for your internal business purposes, and to let your Authorized Users and Clients use it on your behalf.

3.2 Your shop's addresses. Your shop is reached at a subdomain of our domain (<slug>.tablinum.app for your staff, client.<slug>.tablinum.app for your Clients). The slug is chosen at setup; only we can rename it, and a rename redirects the old name. If you add a custom hostname, you are responsible for its DNS records.

3.3 Add-ons. Some features are sold as add-ons (for example, Engineering and Manufacturing). Turning an add-on off stops its features and keeps the data they created.

3.4 Changes. We improve the Service continually and may change it. We will not materially reduce the core functionality of the Service you subscribe to during a paid billing period. Features we label "coming," "preview" or "beta" are provided as they are, may change or be withdrawn, and are excluded from any commitment in these Terms.

3.5 Downloadable software. If we provide software you install (for example, a desktop app), you may install and use it only with the Service, on devices your Authorized Users use, during your subscription. It updates automatically. Section 13.2's restrictions apply to it.

4. Free trial

4.1 Length. A new shop starts with a free trial of [30 days] unless we agree a different length. You need no payment method for the trial and we charge nothing for it.

4.2 When the trial ends. If the trial ends without your shop being activated on a paid subscription, your shop moves automatically into finish-only mode (section 10.3): your team can finish the work already under way, including taking payment for it, but cannot start new work. Your Clients can still view their orders and pay outstanding invoices; they are not told why your shop is in this mode.

4.3 Activation. Your paid subscription starts when we activate your shop at your request. Activation is a step we take with you; it does not happen automatically.

4.4 Trial data. Data you enter during the trial carries over when you activate. If you do not activate within 30 days after the trial ends, we cancel your shop, and section 11 then applies.

4.5 Trial terms. During a trial the Service is provided "as is" (section 17 applies in full), and our total liability for the trial is limited as stated in section 18.3.

5. Accounts and your users

5.1 Your users. You decide who gets a staff account, which role and seat class they hold, and which Clients get portal access. You are responsible for your Authorized Users' and Clients' use of the Service, and for keeping your Authorized Users' roles appropriate.

5.2 Owners. Your shop must always have at least one Owner. Owners accept these Terms, the DPA and changes to them on your behalf, and are our contacts for your account. Tell us promptly if an Owner leaves.

5.3 Sign-in security. Users sign in with an emailed link or code, or with an optional password, and may add an authenticator app. Staff whose role lets them take payments, give refunds or credits, or manage payouts must use an authenticator app. You may also require one for Clients who can place orders. Sensitive actions require a one-time code sent to the user's email. Each user must keep their email account and credentials secure. Tell us immediately at [security@tablinum.app] if you suspect unauthorized access.

5.4 Separate accounts per shop. Accounts belong to one shop. A person who uses two shops on the Service holds two unrelated accounts; we do not link them.

6. Your responsibilities

6.1 Your Customer Data. You are responsible for the accuracy, quality and legality of Customer Data and for having every right, notice and consent needed for us to process it under these Terms and the DPA, including notices to your employees (for example, about time tracking) and to your Clients.

6.2 Your relationship with your Clients. Your quotes, terms of sale, invoices, payment terms, late fees, cancellation policies and other commercial terms are between you and your Clients. We are not a party to them. You are responsible for their content and for their compliance with the laws that apply to you, including consumer-protection and late-fee laws.

6.3 Electronic records and signatures. The Service lets your Clients agree to receive records electronically, accept quotes and sign documents, and it records evidence of those acts (what was accepted, when, by whom, and from which IP address and browser). Whether an electronic acceptance or signature is enforceable for a given transaction is your responsibility. If your Clients include consumers (individuals acting for personal, family or household purposes), you are responsible for any additional consumer-consent requirements.

6.4 Taxes on your sales. The Service calculates sales tax on your invoices from state tax tables we maintain and local rates you enter. You are responsible for your tax registrations, the rates and exemptions you apply, local rates, filing and payment. We maintain the state tables with reasonable care but do not guarantee them, and nothing in the Service is tax, legal or accounting advice.

6.5 Your books. The Service is not accounting software. It can send records to QuickBooks Online (section 8), but your books of account remain your responsibility.

6.6 Acceptable use. You will comply, and make your Authorized Users and Clients comply, with the AUP.

6.7 Data you must not put in the Service. Unless we agree otherwise in writing, you will not submit:

  • (a) technical data controlled under the International Traffic in Arms Regulations, or other export-controlled technical data that requires a licence or a U.S.-persons-only environment, or Controlled Unclassified Information. The Service is not an ITAR- or CMMC-compliant environment;
  • (b) payment card numbers or bank account numbers, except in the Stripe payment fields the Service provides;
  • (c) government identification numbers (such as Social Security numbers), health information, biometric data, or other special categories of personal data, except where incidental to an ordinary business document and necessary for your work.

7. Payments to you through Stripe

7.1 Your Stripe account. To take card or bank payments from your Clients through the Service, you connect a Stripe account. Stripe provides payment processing to you directly under your own agreement with Stripe (the Stripe Services Agreement), and you are the merchant of record for every payment. Tablinum is not a payment processor or money transmitter and never holds your funds.

7.2 What you authorize. You authorize us to create and manage payment objects in your Stripe account on your behalf, as your use of the Service requires (for example, to create a Client as a Stripe customer, take a payment, save a payment method your Client chooses to save, and record refunds), and to read your Stripe account's payment and payout data to show it in the Service and send it to QuickBooks if you turn that on.

7.3 Responsibility for payments. Refunds, disputes, chargebacks, Stripe's fees, Stripe's account reviews and limits (including limits on bank payments for new accounts), and your compliance with Stripe's terms are between you and Stripe. We are not liable for Stripe's acts or omissions or for funds Stripe holds or withholds.

7.4 Our fee on your payments. We do not currently charge a fee on payments you take through your Stripe account. We will give you at least 90 days' notice before introducing one.

7.5 Card data. Card and bank details your Clients enter go directly to Stripe through Stripe's own fields and pages. We store only references and display details (such as card brand, the last four digits and the expiry date).

8. Integrations with third-party services

8.1 Integrations you turn on. The Service can connect to services you use, such as QuickBooks Online and (when available) HubSpot. When you connect one, you instruct us to send the relevant Customer Data to it and, where applicable, to read data from it. Your use of the third-party service is governed by your agreement with its provider.

8.2 QuickBooks Online. The QuickBooks connection sends customers, invoices, payments and credit notes from the Service to your QuickBooks company. It is one-way: changes made in QuickBooks do not flow back. You are responsible for checking what arrives in your books.

8.3 Not our responsibility. Once data reaches a third-party service at your instruction, its handling there is governed by that provider's terms, not ours. We are not responsible for third-party services, their availability, or changes to their interfaces that limit an integration.

9. Fees, billing and taxes

9.1 Fees. You pay the fees in your Order Form, or, where an Order Form does not state one, the list price in force for your plan as shown on your Plan & billing page. Fees may include:

  • a flat plan fee;
  • flat fees for add-ons;
  • fees per staff seat by seat class;
  • storage beyond what your plan includes;
  • onboarding sessions we deliver.

Client portal accounts are free and unlimited. [Shop-floor seats are free.]

9.2 How usage is counted. Seats are counted per class as the highest number of active staff accounts in that class at any moment in the month. A person archived during a month still counts for that month. Storage is measured as the highest amount of stored data during the month, counting identical files once. Your Plan & billing page shows these readings as they accrue.

9.3 Billing in arrears, on the 1st. We invoice on the 1st of each month, in your shop's time zone, for the month just ended. If your billing interval is annual, we invoice [as stated in your Order Form].

9.4 First and last months. If your shop is activated on the 1st to the 7th of a month, the first month is billed in full. If it is activated on the 8th or later, the first month's monthly fees are prorated by the days your shop was active. The month in which your subscription is cancelled is billed in full.

9.5 Payment. Unless we agree to invoice you, you authorize us (through our payment processor, Stripe) to charge the card or bank account on file for each invoice when it is issued. If we agree to invoice you, payment is due [30] days after the invoice date. You manage your payment method on Stripe-hosted pages linked from Plan & billing.

9.6 Taxes. Fees exclude taxes. We add sales and similar taxes where they apply, calculated for the tax address you give us on Plan & billing. You must keep that address accurate.

9.7 Discounts. A discount applies as stated in its Order Form, including its expiry date. Unless the Order Form says otherwise, a discount ends at the first billing close after it expires.

9.8 Plan changes. Where your Plan & billing page allows it, an Owner can change your add-ons. The change takes effect at the start of your next month, with no proration. Otherwise, ask us.

9.9 Price changes. We may change list prices. We will give your Owners and billing contact at least 30 days' notice, and a change takes effect only at the start of a month. A change does not apply to a price fixed in an Order Form until the term that Order Form states has ended.

9.10 Storage. Your plan includes storage, and uploads are never blocked for exceeding it. If your storage use is far beyond typical use for your plan, we may contact you to agree pricing for the excess. We will not charge for it without your agreement or [30] days' notice under section 9.9.

9.11 Late payment. If an invoice is unpaid when due, our processor retries the payment and reminds you, and your staff see a notice in the app. If it remains unpaid [15] days after we notify an Owner, we may move your shop to finish-only mode (section 10.3) until it is paid. Your Clients are never told why.

9.12 Billing disputes. Tell us about a disputed invoice within [60] days of its date. We will work with you in good faith, and you need not pay the disputed portion while we do.

9.13 No refunds. Because we bill in arrears, fees cover service already provided and are non-refundable, except where these Terms say otherwise or the law requires.

9.14 Invoice history. Your Plan & billing page shows every invoice we have issued to you.

10. Term, cancellation and suspension

10.1 Term. Your subscription runs month to month (or for the term in your Order Form) and renews automatically until cancelled.

10.2 Cancellation by you. An Owner may cancel at any time by [emailing support@tablinum.app / using Plan & billing]. Cancellation takes effect at the end of the month in which we receive the request. That month is billed in full, and you remain responsible for any unpaid fees. Until then your shop works as before.

10.3 Finish-only mode. In finish-only mode (after an unpaid invoice, or after a trial ends):

  • your staff can finish work already released, including shipping it, checking files back in and taking payment for it, but cannot start new work: no new orders, quote sends or amendments, uploads, projects or file check-outs;
  • your Clients can view their orders, download their documents and pay outstanding invoices, but cannot accept quotes or place orders;
  • all of your data is kept.

10.4 Suspension for risk. We may suspend all or part of the Service immediately if we reasonably believe that your use poses a security risk to the Service or others, breaches the AUP in a serious way, or must be suspended to comply with law. We will tell an Owner promptly, and restore the Service once the cause is resolved.

10.5 Termination for breach. Either party may terminate if the other materially breaches this agreement and does not cure the breach within [30] days of written notice.

10.6 Discontinuing the Service. We may stop offering the Service by giving you at least 90 days' notice. Section 11 applies at the end of that notice.

10.7 Cancellation is final. A cancelled shop cannot be reactivated. To use the Service again you need a new shop, into which you can import your exported data.

11. Your data after cancellation

11.1 Timeline. Days are counted from the moment your cancellation takes effect.

WhenWhat happens
CancellationYour staff can still sign in, read everything and export it, but cannot change anything. Your Clients can still sign in to view their orders and download their quotes, invoices and files, but cannot place orders or accept quotes. We automatically prepare a complete export of your shop and make it available to your Owners.
Day 60Access ends for your staff and your Clients. Your portal address shows a notice that the portal has closed and that Clients should contact you.
Day 90Your shop's data is deleted from use (a recoverable deletion). Until day 120, an Owner may ask us to restore it to the read-only, export-only state.
Day 120We permanently delete your shop's data from our production systems: records, files, Client and staff accounts, and your shop's audit records.
AfterwardsCopies in our backups expire on their normal schedule: database backups within [30] days, and file backup copies within 90 days. Until they expire, backups are kept secure and are not used except to restore after a failure.

11.2 What we keep. After deletion we keep only our own records of our relationship with you, for as long as we need them for legal, tax, accounting and dispute purposes:

  • our invoices to you and their payments;
  • your shop's lifecycle history;
  • the records of acceptance of these Terms, the DPA and our user terms (including the name and email address of the person who accepted);
  • records of actions taken by Tablinum personnel, including support sessions.

These records may contain limited personal data, as our Privacy Policy describes.

11.3 Your Clients' own records. The read-only period lets your Clients download their own quotes, invoices and documents. Tell your Clients if you are leaving the Service.

12. Your data: ownership, export and our use

12.1 You own your data. As between you and us, you own Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process and display Customer Data only as needed to provide, secure and support the Service for you, as these Terms and the DPA describe, and as the law requires.

12.2 Export any day. On any day of your subscription, an Owner may ask us for a complete export of your shop at no charge: your records as CSV or JSON, and your original files, including earlier file versions where your plan keeps them. We will deliver it as a secure download link within 5 business days of the request. Some exports, such as downloading every file for one Client, are available directly in the app.

12.3 What we never do. We do not sell Customer Data. We do not use your files or Customer Data to train AI models. We do not use Customer Data to advertise to you, your users or your Clients.

12.4 Service Data and aggregate data. We may use Service Data, and aggregated or de-identified data that does not identify you, your users or your Clients, to operate, secure, measure the cost of, improve and price the Service. We do not disclose it in a form that identifies you.

12.5 Our access to Customer Data. Our personnel access Customer Data only to provide, secure and support the Service, to respond to your requests, or as the law requires.

When support needs to act in your shop, it uses a time-limited support session that sees exactly what one of your users sees. Inside a support session:

  • support cannot move money or take any action that needs an emailed confirmation code;
  • every action is recorded in your shop's activity log;
  • if support changes anything, every Owner is emailed.

12.6 Requests about your Clients' or users' personal data. If one of your Clients or users asks us to access or delete their personal data, we refer them to you, and we help you respond as the DPA provides.

13. Our intellectual property

13.1 Ours. We and our licensors own the Service, including its software, design and documentation, and all improvements to it. Apart from the rights expressly granted to you, we reserve all rights.

13.2 Restrictions. You will not, and will not let anyone else:

  • copy, modify or create derivative works of the Service;
  • reverse engineer it, except where the law allows despite this restriction;
  • resell or sublicense it, or provide it to third parties as a service bureau;
  • access it to build a competing product;
  • remove our notices;
  • use it in breach of the AUP.

13.3 Feedback. If you give us suggestions or feedback, we may use them without obligation to you.

13.4 Our name on your documents. Your documents and emails carry your shop's name. Pages of the Service may show a small "powered by" footer. We do not place our branding on your quotes, invoices or other paperwork.

13.5 Publicity. We will not name you as a customer or use your logo without your written consent.

14. Confidentiality

14.1 Each party will protect the other's Confidential Information with at least reasonable care, use it only to perform this agreement, and disclose it only to personnel and contractors who need it and are bound by similar obligations. "Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential, including Customer Data and the terms of any Order Form.

14.2 It does not include information that is or becomes public through no fault of the recipient, was known to the recipient without restriction, is independently developed, or is rightfully received from a third party.

14.3 A party may disclose Confidential Information where the law or a court requires, after giving the other party prompt notice where lawful.

15. Security and privacy

15.1 We maintain the security measures described in Annex 2 of the DPA and will not materially weaken them during your subscription.

15.2 Our Privacy Policy at tablinum.app/legal/privacy-policy explains how we handle personal data for which we are responsible (for example, your Owners' contact and billing details). The DPA governs Customer Personal Data.

15.3 We use the subprocessors listed at tablinum.app/legal/subprocessors and give notice of changes as the DPA provides.

16. Availability and support

16.1 We use commercially reasonable efforts to keep the Service available, other than during planned maintenance and events beyond our reasonable control. We do not offer a numeric uptime commitment.

16.2 We publish the Service's status at [status.tablinum.app]. For any incident that lasts more than 30 minutes or affects Customer Data, we publish a plain-language explanation.

16.3 Support is available by email at support@tablinum.app during [business hours, U.S. Eastern time].

17. Warranties and disclaimers

17.1 Mutual. Each party warrants that it has authority to enter into this agreement.

17.2 Ours. We warrant that the paid Service will perform materially as described in its documentation. If it does not, tell us. Your remedy, and our only obligation, is that we use reasonable efforts to correct the problem. If we cannot within a reasonable time, either party may terminate the affected subscription, and we will refund any fees you prepaid for the period after termination.

17.3 Disclaimer. Except as stated in this section, the Service is provided "as is" and "as available". To the fullest extent the law permits, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. We also do not warrant that calculations it performs (including taxes, late fees, prorations and job costs) will be correct for your circumstances: you remain responsible for reviewing documents before you send them.

18. Limitation of liability

18.1 Excluded damages. Neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data (other than our obligation to restore data from backups as section 11 and the DPA describe), even if advised of their possibility.

18.2 Cap. Each party's total liability arising out of or relating to this agreement is limited to the fees you paid and owed to us in the 12 months before the event giving rise to the claim.

18.3 Free use. For any period during which you pay no fees, including a free trial, our total liability is limited to US $100.

18.4 Exceptions. Sections 18.1 and 18.2 do not limit:

  • your obligation to pay fees;
  • either party's indemnity obligations under section 19;
  • liability for fraud, gross negligence or wilful misconduct;
  • liability that the law does not allow to be limited.

19. Indemnities

19.1 By us. We will defend you against any third-party claim that the Service, as we provide it, infringes a U.S. patent, copyright or trademark or misappropriates a trade secret, and pay the damages and costs finally awarded or agreed in settlement.

If such a claim is made or likely, we may obtain the right for you to keep using the Service, modify it so it no longer infringes, or, if neither is reasonable, terminate the affected subscription and refund prepaid fees for the remaining period.

We have no obligation for claims that arise from Customer Data, from combinations with things we did not provide, from modifications we did not make, or from your breach of this agreement.

19.2 By you. You will defend us against any third-party claim arising from Customer Data, from your or your users' breach of the AUP or of section 6, or from your dealings with your Clients (including your quotes, sales, taxes, late fees and payment disputes), and pay the damages and costs finally awarded or agreed in settlement.

19.3 Process. The indemnified party must give prompt notice, let the indemnifying party control the defence and settlement (no settlement may impose an admission or obligation on the indemnified party without its consent), and provide reasonable cooperation at the indemnifying party's cost.

20. Changes to these Terms

20.1 We may change these Terms, the DPA or the AUP. For a material change, we will notify your Owners at least [30] days before it takes effect. In the Service, your Owners and staff then see a notice of the new version for 14 days, during which an Owner may accept it; after that, an Owner accepts it before anyone at your shop goes on. If you do not agree, you may cancel before the change takes effect, and the earlier version continues to apply until your cancellation takes effect.

20.2 Changes required by law, or made to address security, may take effect sooner.

20.3 Each version is dated and published at a permanent address, and earlier versions remain available.

21. Governing law and disputes

21.1 These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

21.2 The state and federal courts located in [County], Pennsylvania have exclusive jurisdiction, and each party consents to them. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL.

21.3 Before starting proceedings, a party will give the other written notice and [30] days to resolve the dispute informally.

22. General

22.1 Notices. We send notices to your Owners' and billing contact's email addresses, or through the Service. You send notices to legal@tablinum.app. Email notices are effective when sent, unless the sender receives a delivery failure.

22.2 Assignment. Neither party may assign this agreement without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its relevant business or assets, with notice.

22.3 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control (other than payment obligations).

22.4 Export and sanctions. Each party will comply with U.S. export-control and sanctions laws. You represent that you are not located in, or owned or controlled by persons in, an embargoed country or on a U.S. restricted-party list. Section 6.7(a) applies to controlled technical data.

22.5 U.S. Government users. The Service is commercial computer software provided under these Terms.

22.6 Independent parties. The parties are independent contractors. There are no third-party beneficiaries; in particular, your Authorized Users and Clients are not beneficiaries of these Terms.

22.7 Entire agreement. This agreement is the parties' entire agreement on its subject and supersedes prior agreements on it. Terms in your purchase orders or other documents do not apply. A waiver must be in writing. If a provision is unenforceable, the rest remains in effect.

22.8 Survival. Sections that by their nature should survive termination do so, including 9 (for amounts owed), 11, 12, 13, 14 and 17–22.
